5. Payment Terms

Payment Schedule

  • • Direct debit (for ongoing services)

Late Payment: Interest may be charged on overdue amounts at 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

6. Intellectual Property Rights

All content, materials, and intellectual property on our website and in our services remain our property or that of our licensors. This includes but is not limited to:

7. Limitation of Liability

Important Limitation Notice:

Nothing in these terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

7.1 Excluded Losses

Subject to the above, we exclude liability for:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or corruption of data
  • Indirect, special, or consequential losses
  • Business interruption or loss of goodwill

7.2 Liability Cap

Our total liability for any claims arising from our services shall not exceed the total amount paid by you for services in the 12 months preceding the claim.

  • 30 days' written notice for ongoing services
  • Immediate termination for material breach by us
  • Payment required for services provided up to termination

8.2 Termination by Us

  • 30 days' notice for convenience
  • Immediate termination for breach of terms
  • Immediate termination for non-payment

Effect of Termination

Upon termination, we will provide you with final reports and transfer ownership of agreed deliverables. We may retain copies for our records and quality assurance purposes.

9. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Dispute Resolution

We encourage resolving disputes through direct communication. If formal proceedings become necessary, we prefer mediation before litigation where appropriate.

10. General Provisions

Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.

Severability

If any provision is found invalid, the remainder of these Terms shall remain in effect.

Entire Agreement

These Terms, together with our Privacy Policy and service agreements, constitute the entire agreement.

Assignment

You may not assign these Terms without our written consent. We may assign with reasonable notice.
